As event creators and participants, we all want events to run smoothly and safely. We're thrilled to have you with us! Please read these Terms of Service ("Terms") carefully, as they contain important information about your legal rights, remedies, and obligations.

By accessing or using OUTIN's services, you agree to these Terms (which include our Privacy Policy and other relevant policies and agreements) without modification, and you enter into a binding contract with us that governs your use of our services. If you do not agree to these Terms, please do not use our services.

1. Acceptance of Terms

1.1 Definitions:

  • Affiliate: Any person or entity controlling, controlled by, or under common control with a specified entity, with "control" defined as ownership of more than 20% of voting stock or the power to direct management.

  • Consumers: Individuals using our services for various purposes, including attending events.

  • OUTIN Properties: OUTIN's products, features, and offerings available online through our platform, including our website and mobile applications.

  • Material: Information, data, text, design elements, graphics, images, videos, sounds, and other content.

  • Organizer: Event creators using our services to create events for Consumers.

  • Services: The OUTIN properties and Organizer services.

  • Site Content: Material provided via our services.

  • Your Content: Any Material you contribute, provide, or post using our services.

  • Your Trademarks: Trademarks, trade names, service marks, and logos you provide using our services.

  • Users: Collectively refers to Organizers, Consumers, and third parties accessing our services.

  • OUTIN: Refers to OUTIN and its affiliates, subsidiaries, and respective officers, directors, agents, partners, and employees.

1.2 Contracting Entity:

Depending on your location, you may be contracting with an OUTIN affiliate. The contracting entity for different regions will be specified accordingly.

1.3 Additional Terms:

By agreeing to these Terms, you acknowledge that you have read and agree to the Privacy Policy, Cookie Statement, and Community Guidelines applicable to all Users. Additional terms may apply based on specific services you use

1.4 Authority:

If you use the services on behalf of an entity, you agree to these Terms on behalf of that entity and its affiliates and represent that you have the authority to do so.

 

2. OUTIN's Services and Role

2.1 Services Offered:

OUTIN provides an events management and growth platform enabling Organizers and Consumers to connect through live experiences. Our services include event creation, ticket sales, donations, and marketing tools.

 

2.2 Role:

OUTIN is not the creator, organizer, or owner of events listed on our platform. Organizers are responsible for ensuring their events comply with applicable laws and delivering the described goods and services accurately.

3. Privacy and Consumer Information

3.1 Privacy Policy:

We are committed to protecting your personal data as outlined in our Privacy Policy.

3.2 Cookies:

We use cookies and similar technologies to collect information about your use of our services. Our Cookie Statement provides more details, and you can manage your preferences via our website.

 

3.3 Consumer Information:

Organizers must comply with applicable laws when handling information about Consumers.

4. Term; Termination

4.1 Term:

These Terms apply when you access our services and continue until terminated as described below.

 

4.2 Termination by OUTIN:

We may suspend or terminate your access to our services if you violate these Terms, misuse the services, or if necessary to comply with legal obligations.

 

4.3 Deleting Your Account:

You may terminate your access to our services by deleting your account. If you continue to access the services, these Terms remain in effect.

 

4.4 Survival:

Certain provisions will continue to apply even after termination of these Terms.

 

5. Export Controls and Restricted Countries

We comply with export controls and economic sanctions laws. You must not use our services if you are located in a restricted country or are subject to sanctions.

 

6. Release and Indemnification

6.1 Release:

You release OUTIN and its affiliates from any disputes between you and third parties in connection with our services.

 

6.2 Indemnification:

You agree to defend and indemnify OUTIN from any claims arising from your use of our services, breach of these Terms, or violation of laws.

7. Disclaimer of Warranties and Assumption of Risks

7.1 Disclaimers:

Our services are provided "as is" without warranties of any kind.

7.2 Assumption of Risks:

You assume risks associated with attending live events.

7.3 OUTIN-Hosted Events:

You waive claims against OUTIN for events we host.

7.4 Beta Services:

Beta services are provided "as is" and may be modified or discontinued at any time.

8. Limitation of Liability

OUTIN's liability is limited to the maximum extent permitted by law.

9. Binding Arbitration and Class Action Waiver

Please read this section carefully. Any disputes will be resolved through binding arbitration on an individual basis, and you waive the right to participate in class actions.

 

9.1 Customer Support:

Contact us first with any issues.

 

9.2 Arbitration Process:

Disputes will be resolved through arbitration if not settled through customer support.

 

9.3 Applicability:

Arbitration applies to all disputes, except for small claims and intellectual property issues.

 

9.4 Selection of Arbitrator:

Arbitrator selection will follow a "rank and strike" process.

 

9.5 No Class Actions:

You and OUTIN agree to resolve disputes individually, not as part of a class action.

 

9.6 Dispute Notice:

Provide a written notice of dispute before initiating arbitration.

 

9.7 Arbitration Rules:

Arbitration will follow the AAA Rules.

 

9.8 Arbitration Location:

Hearings will take place in your county of residence or by phone for Consumers.

 

9.9 Similar Claims:

Similar claims will be batched together for efficient resolution.

 

9.10 Arbitration Costs:

We will cover arbitration costs for claims under $10,000 unless deemed frivolous.

 

9.11 Non-Qualifying Disputes:

Non-arbitrable disputes will be governed by applicable law and jurisdiction.

 

9.12 Opt-Out:

You can opt out of arbitration within 30 days of first using our services.

10. License to OUTIN Services

10.1 License:

You are granted a limited, non-exclusive license to use our services.

 

10.2 License Restrictions:

You may not copy, sell, or misuse our services.

 

10.3 Ownership:

All content on our platform is protected by intellectual property rights.

 

10.4 Trademarks:

You cannot use trademarks without permission.

 

10.5 Sub-Domains:

Sub-domains provided by OUTIN remain our property.

11. Licenses and Permits for Organizers

Organizers must obtain all necessary licenses and permits for their events.

 

12. Copyright Takedown Notice

Submit a notice if you believe your copyrights are being violated.

 

13. Prohibition on Scraping or Commercial Use

You cannot use our content for commercial purposes or scrape data from our site.

14. Fees and Refunds

14.1 Fees:

We charge fees for listing events and selling tickets.

14.2 Ticket Transfers:

Contact the Organizer for ticket transfers.

14.3 Refund Requests:

Refunds are managed by the Organizer.

15. Your Account

15.1 Account Rules:

Provide accurate information and maintain the security of your account.

16. Your Content and Trademarks

16.1 Rights and Responsibilities:

You grant us a license to use Your Content and Your Trademarks for providing and promoting our services.

16.2 Representations:

You represent that you have the rights to Your Content and Trademarks.

16.3 Content Rules:

Your Content must comply with our guidelines.

17. Notices

Notices may be sent via email or mail to your address on record.

18. Modifications

We may modify these Terms and will notify you of material changes.

19. Assignment

We may assign our rights and obligations under these Terms.

20. Entire Agreement

These Terms constitute the entire agreement between you and OUTIN.

21. Applicable Law and Jurisdiction

Disputes will be resolved in San Francisco under California law, unless subject to arbitration.

22. Feedback

We may use feedback you provide without compensation.

23. Third Party Websites

We are not responsible for third-party websites or materials you access.

24. Miscellaneous Provisions

Failure to enforce any part of these Terms does not waive our right to enforce them later. If any part of these Terms is found unenforceable, the remaining provisions remain in effect.

25. Additional Clauses for Users in Certain Locations

Certain provisions may apply based on your location, such as consumer protection laws in Australia and the EU.
